LOXLEY informed the resolution of the executive board's meeting held on June 28, 1996 to buy a total of 135,000 shares of Loxley Utilities Service Co., Ltd from Aekpawee Co., Ltd, a major shareholder of LOXLEY at the price of Bt2 million. Loxley Utilities Service Co., Ltd is in the business of distributing and installing systems of waste water treatment, electricity, piped water, etc. The investment is, therefore, to strengthen LOXLEY's marketing potential, to add more channels of distribution and to provide more services to target customers. LOXLEY will also be able to utilize capable personnel of Loxley Utilities Services Co., Ltd for further development of the business. The funding source for the investment will be from LOXLEY's working capital. The transaction size is equal to 0.06% of company's value of assets. The calculation is based on rules of the Stock Exchange of Thailand (SET) concerning the acquisition and disposition of assets and the connected transaction as to the value of assets.
