REPORTS RESULT OF E.C.D CONVERSION

Loxley Plc (LOXLEY) reported that in August, 1996 no one converted
their E.C.Ds into the company's common shares.
LOXLEY perviously issued E.C.Ds in foreign currency worth US$100
million and offered them to foreign investors from April 20 to May 20,
1995. The E.C.D holders are able to convert them after July 20, 1995 .
