REPORTS NO CONVERSION OF DEBENTURE TO COMMON SHARES

Loxley Plc (LOXLEY) reported the conversion of debentures to
common shares in the issuance of Euro Convertible Debenture for the second
time.
Loxley Plc reported that as the company has issued Euro Convertible
Debenture or E.C.D. for the second time to offer to foreign investors of
US$105 million during April 4, 1996 and offered rights of converting
debentures to common shares before the maturity of debenture and the
investors were able to use their rights after July 4, 1996.
The company would like to notify that there was no conversion of
debentures to common shares from the debenture holders at all.
