Tor 23/2544 14 August 2001 Subject Annouce Enlargement of Business by an Associated Company To President The Stock Exchange of Thailand Castrol (Thailand) Co., Ltd. ("Castrol"), an associated company of Loxley Public Company Limited (the "Company") reported the Company as a shareholder that: Castrol is going to enlarge its business by acquiring lubricants business from BP Oil (Thailand) Co., Ltd. ("BPOT") Following the process, Castrol will increase its capital and issue new shares to BPOT and the proceed from share subscribsion will be used to acquire the mentioned lublicant business. Other than BPOT, existing shareholders will decline to subscribe to any of the new shares. Therefore, the shareholding straucture of Castrol shall be as follows after the share subscription: Pre-Acquisition Post-Acquisition Loxley Public Co., Ltd. 50% Loxley Public Co., Ltd. 40% Castrol (UK) Ltd. 50% Catrol (UK) Ltd. 40% BPOT 20% This brand portfolio combined of Castrol will ensure the ability to extend its position as the most successful libricants and to use its powerful multi-brand portfolio to grow significantly. The succesful of this transaction will also deliver maximum value to its shareholders. This transaction is not determined as a connected transaction as per the SET's regulations.
