2. The Audit Committee of the Company has the scope of duties and responsibilities, and
shall report to the board of directors on:
1. To review the sufficiency of the financial report;
2. To review the adequacy and effectiveness of internal control system;
3. To review compliance with the Securities and Exchange Acts, Regulations of
the SET, and any other relevant laws;
4. To consider and advise the appointment of the external auditors including the
audit fee;
5. To consider compliance with all connected transaction disclosures or the
confict-of-interests disclosures;
6. To report the activities of the Audit Committee in the Company's annual report
which must be signed by the Chairman of the Audit Committee;
7. Be responsible to the board of directors under the scope of the functions
assigned to it by the board.
3. Term of the Appointment:
3.1 Chairman of the Audit Committee's term is set for 3 years.
3.2 Members of the Audit Committee's term are set for 3 years.
