To: President The Stock Exchange of Thailand Reference: Loxley Plc.'s letter No. Tor. 8/2545 dated 23rd May 2002 Loxley Plc.'s letter No. Tor. 9/2545 dated 4th June 2002 Reference is made to Loxley Public Company Limited (the "Company") notification letters on the merger of Loxley Information Service Co., Ltd. and C.S. Communications Co., Ltd. The Company would like to inform the progress of the transaction as following: The Company was informed by Loxbit Co., Ltd. that the negotiation on the detailed terms and conditions of the merger had completed. Point Asia Dot Com Co., Ltd. (an associated company of Loxbit Co., Ltd. and the parent company of Loxley Information Service Co., Ltd.) and C.S. Communications Co., Ltd. (a subsidiary of Shin Satellite Plc.) will sign the Share Purchase Agreement and Shareholders Agreement relating to the merger of both internet business. After that both parties will implement terms and conditions of the agreements to complete the merger. Then the merging will be successfully completed.
