Tor 24/2544 14 August 2001 Subject Report on New Investment To President The Stock Exchange of Thailand Loxley Public Company Limited (the "Company") would like to report that the Company, joinly with Thales Co., Ltd. (France), will set up Loxley Thales Co. Ltd. ("Loxley Thales") with the registered capital of six million Baht. The Company will hold 30,600 common shares or 51.0% of the registered capital. Thales CTI PTE Limited (Singapore) will hold 29,400 common shares or 49.0% of the registered capital. The Company will use its working capital in the amount of Baht 3.06 million to invest in Loxley Thales. The capital will gradually be paid-up upon the capital call of Loxley Thales. The Board of Directors of the Company had principally approved this investment since 9 April 2001. The purpose of this investment is to enhance the the Company's business on the telecommunication, electronic control system and security for the public sector and private sector which the Company has already engaged in. This transaction is not determined as a connected transaction as per the SET's regulations and the size of the transaction is calculated equal to 0.03% per the SET's regulations.
