Tor. 9/2548 July 29, 2005 Subject: Reported on entering the Contracting Agreement for Service of Lottery-Game System To: President The Stock Exchange of Thailand LOXLEY GTECH Technology Company Limited ("LGT"), a subsidiary company of Loxley Public Company Limited (the "Company"), had informed the Company which details as following: Today LGT (as a Contractor) has entered into the Contracting Agreement for Service of Lottery-Game System with Government Lottery Office (as an Employer). The contract is to design and install Lottery-Games System, communication system, vending terminals, various supporting systems, as well as implementation, provision of services and provision of maintenance to various systems and lottery vending terminals throughout the nation in the total of 12,000 terminals. This Agreement shall be in effective as from the Agreement signing date for the period of 5 years commencing on the date of actual lottery sale onwards and can extend for not exceeding 3 terms each of which shall not exceed 1 year. The services charges under this Agreement shall be calculate on a monthly basis according to the calendar month, by multiplying all volumes of sale transactions in that particular month with Baht 0.75 (Excluded VAT) per transaction. In addition, the annual service charge from the 2nd year onward shall be capped at 2.4% (Excluded VAT) of the total sale volumes of each year. LGT shall carry out and install lottery terminals of not less than 3,000 terminals for actual commercial launch within 210 days after the Agreement signing date and shall gradually install lottery vending terminals of at least 1,000 terminals per month until the terminals reach the number stipulated by the GLO.
